Terms & Conditions and Privacy Notice — Integrated Critical Incident Response (CIR)

Scope and Precedence

These SMS Terms & Conditions and this SMS Privacy Notice (together, the “SMS Terms”) apply only to the text-messaging program described below, which Spring Care, Inc. (“Spring Health”) uses to coordinate Integrated Critical Incident Response (“CIR”) shifts with participating providers. The SMS Terms supplement, and are governed by, the Professional Services Agreement between the provider and Spring Health (the “Provider Agreement”) and the Spring Health Provider Policy Manual (the “Provider Policy Manual”), each as amended from time to time.

The Provider Agreement and the Provider Policy Manual already govern how Spring Health communicates with providers, including by telephone and text message, and already govern provider participation in the CIR program. If any conflict or inconsistency exists between these SMS Terms and the Provider Agreement or the Provider Policy Manual, the Provider Agreement and the Provider Policy Manual control. These SMS Terms do not modify, expand, waive, or limit the Provider Agreement or the Provider Policy Manual, do not create any new rights, and are published solely to describe the SMS program and to satisfy the requirements of Spring’s messaging vendors and their carriers and aggregators.

These SMS Terms apply only to provider communications. This does not apply to member-facing or consumer marketing communications. 

Definitions. Capitalized terms used but not defined in these SMS Terms have the meanings given to them in the Provider Agreement and the Provider Policy Manual. “Spring Health” refers to Spring Care, Inc. and its affiliated entities, including the Spring Health entity that is party to the applicable Provider Agreement.

SMS Terms & Conditions

1. Critical Incident Response Program. Spring Health sends SMS text messages to participating providers about upcoming CIR shifts that the provider may be eligible for. These messages contain shift details, including the date and time, the location, and the incident type.

2. Opt-in and consent. By enrolling in, opting into, or otherwise providing your mobile number for Critical Incident Response SMS communications, you consent to receive recurring SMS/text messages from or on behalf of Spring Health at the mobile number you provided. Messages may be sent using automated technology. Enrollment in the SMS program is voluntary, and opting out does not affect your Provider Agreement or your ability to participate in CIR through other channels.

3. Rates and frequency. Message frequency varies based on CIR activity, provider eligibility, provider availability, and operational needs. Message and data rates may apply. If you have questions about your text or data plan, please contact your wireless provider.

4. How to opt out. You can cancel the SMS service at any time by texting STOP. After you send STOP, we will send you a confirmation text, and you will no longer receive SMS messages from us for this program. To join again, just sign up as you did the first time.

5. How to get help. If you have issues with the messaging program, reply with the keyword HELP, or get help directly at providersuccess@springhealth.com.

6. Carrier liability. Carriers are not liable for delayed or undelivered messages.

Privacy Notice for SMS Communications

Spring Health may collect and use information related to this SMS program, including your mobile phone number, SMS opt-in status, consent records, message delivery information, message interaction data, and the content of SMS messages or replies.

Spring Health uses this information to operate and administer the CIR SMS program, send provider communications, manage opt-in and opt-out requests, maintain records of consent, troubleshoot delivery issues, and comply with applicable legal, contractual, and operational requirements.

Data sharing. Text messaging originator opt-in data and consent will not be shared with any third parties, excluding aggregators and providers of the text-message services. For information about how Spring Health handles personal information generally, see our Privacy Policy.

Additional Terms

Changes. Spring Health may update these SMS Terms from time to time, and will post any updates on this page. Governing terms, including governing law and dispute resolution, are those set forth in the Provider Agreement.

Not for Emergencies or Urgent Clinical Matters. This SMS program is intended for CIR provider scheduling and operational communications. It is not an emergency service and should not be used for urgent clinical matters, member crises, or emergency communications. Providers should follow applicable emergency, urgent, clinical, and member-safety procedures as described in the Provider Agreement, the Provider Policy Manual, and other applicable Spring Health policies.
